In addition to these Terms and Conditions, other important conditions may be applicable to your Order including specific terms for certain Goods as identified in the product or associated pages on the Website (e.g. supplier direct terms) or as advised in your Quote. By using this Website you represent that you are at least 18 years old, or you are at least of the minimum legal age to enter into a binding contract in the jurisdiction in which you are viewing the Website. Please note that we may change these terms and conditions from time to time and any changes will be posted on this Website. Your use of the Website following any such modification constitutes your agreement to the modified Terms and Conditions.

Definitions

In these Terms, the following definitions apply:

Australian Consumer Law or ACL means Schedule 2 to the Competition and Consumer Act 2010 (Cth), and includes any regulations, amendments, re-enactments or replacements of that law from time to time.

Customer, you or your means any person, organisation, corporation or entity who accesses the Website, places an Order and/or purchases goods or services from One Stop or on the Website.

Goods means any goods or services offered for sale or sold on the Website and goods or services offered for sale, sold and/or supplied by One Stop.

GST has the meaning given to it in the A New Tax System (Goods and Services Tax) Act 1999 (Cth).

Order means any order or request to purchase Goods either through the Website, or by phone, fax, mail or email directly to One Stop.

One Stop means Greenhills Group Pty Ltd trading as One Stop Wholesaler, One Stop Cleaning Supplies and One Stop Packaging Supplies (ABN 85 694 779 818) located at 55-57 Madden Avenue, Mildura, Victoria, 3500.

By using or accessing this site you acknowledge that you have read, understood and agreed to be bound by these Terms. If you do not agree to these Terms, please do not use this site. These Terms constitute a binding agreement between you and One Stop and govern your use of this site

We own this site and, unless otherwise indicated, own or are licensed to use all content and other material appearing on this site.

The material on this site is protected by copyright under the laws of Australia and may not be used without our written permission.

No trade mark (whether registered or not) that is displayed on this site may be used in any way without our prior written permission or the prior written permission of the relevant trade mark owner.

Changes to these Terms

We may change these Terms from time to time by posting updated Terms on the Website. Your continued use of the Website after any changes are posted constitutes your acceptance of the updated Terms.

Eligibility and Legal Capacity

To place an Order on the Website, customers must be aged 18 or older. If you are under 18 years of age, you cannot place Orders through this site.

By using this site you represent and warrant to One Stop that you are over the age of 18 years. Should One Stop suffer any damage or other losses as a result of a transaction entered into by a minor, we reserve the right to seek compensation for such losses from his/her parents or guardians.

Website Use

You must not use the Website in any way that is unlawful or prohibited by these Terms, including the following non-exhaustive list of prohibited conduct:

Suspension or termination of access

Without limiting any other remedies available to One Stop at law or in equity, we reserve the right to, without notice, temporarily or indefinitely suspend, or terminate, your access to this site or refuse to provide products to you if:

you breach any provision of these Terms;
One Stop is unable to verify or authenticate any information that you provide to us; or
One Stop believes that your actions may cause damage and/or legal liability to us, any of our customers or suppliers or any other person.

One Stop reserves the right to change or delete this Website and the content on this Website, to discontinue the sale of Goods through this Website, and to discontinue your access to this Website, at any time without obligation to notify anyone, in our sole and absolute discretion.

Third party content and links

The Website may contain content from, or links to, websites operated by third parties. We provide those links for convenience only. We do not control, endorse or accept responsibility for third party websites or content.

Indemnity

You indemnify and hold harmless One Stop and its officers, employees, agents, consultants, licensors, partners and affiliates from and against any losses, liabilities, costs, expenses or damages (including actual losses or damages, and all legal fees on a solicitor-client basis) suffered or incurred by any of them due to, arising out of, or in any way related to (directly or indirectly):

any material or information that you submit, post, transmit or otherwise make available through this site;
your use of, or connection to, this site; or
your negligence or misconduct, breach of these Terms or violation of any law or the rights of any person.

Registration and account security

Requirement for registration

One Stop reserves the right to make any parts of this site accessible only to users who have registered.

Username and password

Upon registration with this site, you will be issued with a username and password to access your account. You are responsible for maintaining the security of your password for this site. One Stop will not be liable for any loss or damage arising from or in connection with your failure to comply with this security obligation. You agree that One Stop will be entitled to assume that any person using this site with your username and password is you or your authorised representative.

You must notify One Stop immediately of any known or suspected unauthorised use of any password or any other breach of security.

User information

In order to register an account with this site, you must agree to these Terms and provide us with:

a valid email address;
accurate billing and contact information (including your street address and the name and telephone number of your authorised billing contact and administrator); and
any other information that may be required by One Stop during the registration process.

You must promptly update this information to maintain its accuracy at all times.

You represent and warrant to One Stop that all information provided to One Stop by you, including the information provided by you through our account registration module or entered into your account profile, is true and not misleading and does not violate any applicable law or regulation or any person’s intellectual property or other rights.

Multiple accounts and automated account opening

One person may not maintain more than one account with this site. Accounts registered by “bots” or other automated methods are not permitted.

Approval of registrations

One Stop reserves the right to accept or reject any application for registration of an account with this site at its discretion.

Orders

Orders are offers

By placing an Order, you make an offer to purchase the Goods in the Order in accordance with these Terms.

Acceptance

Any written Quote provided by One Stop:

is valid for 30 days from the date of issue;
is an invitation to treat only; and
is subject to the Customer accepting these Terms.

We may accept or reject any Order in our discretion. We are not obliged to accept an Order and we are not required to provide reasons for refusing an Order.

An Order is accepted (and a contract for sale is formed) when we dispatch the Goods in the Order (Dispatch Acceptance).

Order confirmations

We may send you an email confirming receipt of your Order and/or dispatch of your Order. Any receipt confirmation is not acceptance unless expressly stated to be acceptance.

You are responsible for checking that the details in any confirmation email are correct and for contacting us promptly if you believe there is an error.

Accuracy of information

You are responsible for ensuring the accuracy of all information provided in your Order, including billing and delivery details. You warrant that:

all information you provide is complete and accurate; and
you are authorised to use any payment method submitted with the Order and there are sufficient available funds/credit to pay for the Order.

Supplier-direct and product-specific terms

Some Goods may be supplied by third party suppliers and may be subject to additional terms identified on the relevant product page or otherwise notified to you (Supplier Terms). Supplier Terms apply to the extent they are not inconsistent with these Terms.

Specifications and suitability

Specifications for Goods may be published on the Website. It is your responsibility to ensure Goods ordered meet your requirements and comply with any applicable local laws or regulations (including import or usage restrictions) in your jurisdiction. If specifications are not available, you must contact One Stop to obtain them prior to ordering. One Stop is not liable for Goods that do not meet your requirements, including but not limited to size or capacity.

Pricing, availability and product information

One Stop reserves the right to change the prices for products displayed on this site at any time before you place an Order.

One Stop endeavours to ensure that all prices displayed on the Website are accurate; however, errors may sometimes occur and prices of Goods may change from time to time. One Stop will be under no obligation to honour any incorrect price.

We review our prices and discounts offered regularly and discounts displayed on the Website will change periodically. Any increase in discounts after the date of your Order will not be applied to your Order retrospectively.

Shipping costs

Shipping costs will depend upon the location for delivery and the items purchased and are shown separately during checkout.

Such shipping costs and options are subject to change from time to time.

Currency and GST

All prices listed on this Website are in Australian Dollars (AUD) and are inclusive of Goods and Services Tax (GST). Any fees or charges, including shipping costs, also include GST where applicable.

International orders are exempt from GST, but may be subject to taxes and duties in the country to which products are being sent. Payment of any such taxes or duties is your responsibility.

Promotional codes

One Stop may from time to time offer promotional discount codes which will apply to certain specified Goods available for purchase on the Website.

The conditions of use relating to promotional codes will be specified at the time of issue. A promotional code may only be used once and no more than one promotional discount code can be applied to any Order. Promotional codes must be claimed on submission of your Order and cannot be applied retrospectively. Promotional codes cannot be used with any other offer or discount.

Availability and substitutions

We do not guarantee the availability of any Goods.

If Goods in your Order are unavailable, delayed outside an estimated timeframe, or otherwise cannot be supplied as ordered, we may (acting reasonably) contact you to offer one or more of the following options:

substitute an item of equal or greater value (with your prior consent);
provide a partial cancellation of the affected Goods; and/or
provide a refund for any cancelled Goods (to the extent payment has been received for those Goods).

Product information

Product descriptions, images and specifications on the Website are provided for general information only. Subject to the Non-Excludable Rights, we do not warrant that product descriptions, images or specifications are complete, accurate, reliable or error-free.

You are responsible for ensuring the Goods meet your requirements and comply with any applicable laws or regulations in your jurisdiction, including but not limited to any local regulations for import or use in the relevant jurisdiction.

Payment

Payment timing

Unless we agree otherwise in writing, payment must be made in full before Goods are dispatched.

Payment methods

When we provide any Goods to you under these Terms, payment will be charged to the credit or debit card provided by you during checkout. Any deposit paid will be deducted from the final payment on any Order. We accept credit and debit card payments by Visa, Mastercard and American Express.

Upon receiving your Order we may carry out a standard pre-authorisation on your credit or debit card for the value of your Order to ensure there are sufficient funds to complete the transaction. Goods will not be dispatched until your Order is accepted and this pre-authorisation is cleared. Your card will be debited once your payment has been approved.

By placing an Order, you consent to payment being charged to your credit or debit card account as provided on the Order. All credit and debit cardholders are subject to validation checks and authorisation by the card issuer. If the issuer of your payment card refuses to authorise payment to us, we will not be liable for any delay or non-delivery.

Except as expressly provided otherwise in these Terms and required under the Australian Consumer Law, all amounts paid through this site are non-refundable. Further information on the steps that One Stop will take to remedy any breach of any non-excludable condition or warranty/guarantee is provided under the heading “Limitation of liability” in these Terms below.

Security

One Stop may request further information from you, such as a copy of your credit card and/or other identification documentation, as part of our internal validation procedures. These procedures help protect bank and credit card account holders from online fraud. Until your Order has passed our internal fraud prevention checks, your Order will remain on pending status. If further information is requested and you do not provide the requested information within such time as One Stop considers appropriate at its discretion, your Order will be cancelled and, if your payment has been received, it will be refunded back to you.

Fraud checks and verification

We may carry out validation and fraud-prevention checks and may request additional information (including identification documents) to verify an Order.

If you do not provide requested information within a reasonable time, we may cancel the Order and, if payment has been received, refund the cancelled amount to you.

Delivery

Delivery costs

Delivery costs (if any) will be shown at checkout and charged in addition to the price of Goods.

Delivery timeframes

Any delivery timeframes provided are estimates only. Subject to the Non-Excludable Rights, we are not liable for delays in delivery.

Delivery scope

Unless we agree otherwise in writing, delivery is to kerbside or street level only.

If a delivery person assists to move Goods beyond kerbside or street level, this is at your risk.

Additional delivery requirements

If you require additional or specific delivery requirements (including installation, disconnection or special handling), you must notify us before placing an Order (or at checkout if the Website allows). Additional charges and terms may apply.

Failure to accept delivery

If:

you do not accept delivery when Goods are available for delivery; or
delivery cannot be effected due to access issues, safety issues, or a lack of instructions/authorisations required to effect delivery,

then (to the extent permitted by law) the Goods may be treated as delivered and you may be liable for any associated storage, insurance and re-delivery costs.

Risk and title to Goods

Until full payment in cleared funds is received by One Stop for all Goods to be supplied by One Stop to the Customer, as well as any other amount which may be owed by the Customer to One Stop:

title and property in the Goods remains vested in One Stop and does not pass to the Customer, and in the event that Goods have been delivered by One Stop to the Customer, no title to such Goods shall pass to the Customer and the Customer shall hold such Goods as fiduciary bailee and agent for One Stop; and
One Stop may without notice enter any premises where it suspects any such Goods may be and remove them, notwithstanding that they have been attached to other goods not the property of One Stop, and the Customer irrevocably licences One Stop to enter such premises for such purposes and indemnifies One Stop against all losses, claims, damages, costs, expenses or demands suffered or incurred by any party arising out of such action.

Risk in the Goods and responsibility to insure the Goods passes to the Customer upon the Goods being dispatched from One Stop or other place where the Goods are located, and the Customer shall assume all risk and liability for loss, damage or injury arising out of or in relation to delivery of Goods or their use or possession.

If:

the Customer will not or does not accept delivery when the Goods are available for delivery;
delivery cannot be effected because One Stop or its delivery agent considers at the time of delivery that delivery would be hazardous or would be contrary to their policies, industry practice or statutory requirements; or
the Customer has not provided One Stop or its delivery agent with appropriate instructions, authorisations, licences or documents to properly, legally and safely effect delivery of the Goods,

the Goods will be deemed to be delivered and risk in the Goods shall pass to the Customer. One Stop may store such Goods until actual delivery, in which case the Customer will be liable to One Stop for all related costs, including any re-delivery charges and storage and insurance costs.

If the Goods cannot be delivered and/or the Customer does not accept delivery of the Goods within 28 days of notification from One Stop that the Goods are available for delivery, One Stop shall be entitled to cancel the Order and re-sell the Goods. One Stop shall return any proceeds from the re-sale of such Goods to the Customer, less an administration and handling charge of 25% of the invoice value of the Goods and all related re-sale costs, charges and fees.

Returns, cancellations and statutory rights

Australian Consumer Law (Non-Excludable Rights)

Nothing in these Terms excludes, limits or modifies any Non-Excludable Rights you may have under applicable law, including the Australian Consumer Law.

Returns process

Returns, credits, exchanges and refunds (including change-of-mind returns where offered) are managed in accordance with the Returns Policy.

Order cancellation by you

If you wish to cancel an Order, you must contact us as soon as possible at our Contact Email.

Whether an Order can be cancelled, and any applicable fees or restocking charges, will depend on whether the Order has been accepted and dispatched and the nature of the Goods, and will be handled in accordance with these Terms and the Returns Policy.

Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONE STOP AND ITS OFFICERS, EMPLOYEES, AGENTS, CONSULTANTS, LICENSORS, PARTNERS AND AFFILIATES EXPRESSLY DISCLAIM ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES (WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE) IN RELATION TO THIS SITE AND ANY PRODUCTS PURCHASED OR OBTAINED THROUGH THIS SITE, INCLUDING ANY IMPLIED WARRANTY/GUARANTEE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

This site is provided strictly on an “as is” basis. To the maximum extent permitted by law, One Stop and its officers, employees, agents, consultants, licensors, partners and affiliates make no representation, warranty or guarantee as to the reliability, timeliness, quality, suitability, truth, availability, accuracy or completeness of this site or any of its content, and in particular do not represent, warrant or guarantee that:

the use of this site will be secure, timely, uninterrupted or error-free or operate in combination with any other hardware, software, system or data;
this site will meet your requirements or expectations;
anything on this site, or on any third-party website referred or linked to in this site, is reliable, accurate, complete or up-to-date;
the quality of any products, information or other material purchased or obtained through this site will meet any particular requirements or expectations;
errors or defects will be corrected; or

Limitation of liability

All express or implied guarantees, warranties, representations or other terms and conditions relating to the Terms, the Website and all Goods not contained in these Terms are excluded to the maximum extent permitted by law.

Nothing in these Terms excludes, limits or modifies:

any liability for personal injury or death where such injury arises from One Stop’s (or its agents, employees or contractors) wilful negligence or misconduct, or fraudulent misrepresentation; or
any right, remedy, guarantee, term, warranty or condition which cannot be excluded or limited by applicable law including the Australian Consumer Law.

In particular, Goods may be subject to guarantees and entitlements under the Australian Consumer Law. If any guarantee, warranty, term or condition is implied or imposed on Goods under the Australian Consumer Law or any other applicable legislative provision and cannot be excluded, One Stop’s liability shall be limited to one or more of the following at One Stop’s option:

in the case of Goods which are goods – replacement or repair of the Goods or supply of equivalent goods, or payment of the costs of repairing or replacing the Goods or acquiring equivalent goods;
in the case of Goods which are services – the supply of the services again, or payment of the costs of having the services supplied again; or
refund of the invoice value of the Goods.

Except as set out above and in relation to One Stop’s contractual obligations to supply the Goods following acceptance of Orders, and to the maximum extent permitted by law, neither One Stop nor any of its agents, affiliates, directors, employees or other representatives will be liable:

in contract, tort, negligence or otherwise for any loss or damage whatsoever in any way connected with the use or misuse of the Website or any Goods;
for any special, indirect, incidental or consequential loss of whatever nature, including damage to software or hardware, loss of data, damage for loss of business, loss of profits, anticipated savings, or any other indirect or consequential loss arising out of or in connection with use of the Website or any Goods (including, without limitation, any such loss arising out of or in connection with any Order placed on the Website or with One Stop directly, whether or not accepted by One Stop), whether in contract, tort (including negligence), under statute, in equity or under an indemnity, whether or not such loss or damage was foreseeable and even if advised of the possibility of the loss or damage.

The Customer acknowledges that:

any warranty provided by a manufacturer in respect of any Goods is the warranty of the manufacturer of the Goods and One Stop shall not be liable or responsible for such warranty and does not provide any warranty of its own in respect of such Goods; and
it has not relied on any advice provided by One Stop or its employees, agents or contractors in relation to the suitability or fitness for a particular purpose of the Goods.

The Customer acknowledges and agrees that any liability at law of One Stop to repair or replace Goods is subject to:

the Customer complying with the Terms in relation to the Goods;
the Customer installing, using and maintaining the Goods in accordance with the manufacturer’s instructions and recommendations and standard industry practice, and the defect in the Goods not being the result of the Customer’s failure to comply with the foregoing;
the Customer not repairing the Goods without the prior written authorisation of One Stop; and
One Stop, its nominated agent or the manufacturer of the Goods (as nominated and required by One Stop in its discretion) being given access to the Goods for the purposes of inspection and resolution of any claim in respect of defective Goods.

Indemnity

You indemnify and hold harmless us and our officers, employees, agents, consultants, licensors, partners and affiliates from and against losses, liabilities, costs, expenses or damages incurred due to, or arising out of, or in connection with:

your use of the Website;
your breach of these Terms; or
your violation of any law or the rights of any person.

Communications

We may communicate with you in relation to the Website or an Order electronically (including by email). You consent to receiving communications from us electronically and acknowledge that electronic communications satisfy any legal requirement for communications to be in writing.

Termination

We may cancel, suspend and/or terminate an Order and/or your access to the Website if:

payment has not been received in full for an Order when due;
we reasonably suspect an Order is fraudulent or unauthorised; or
our performance is affected by reasons outside our reasonable control (including force majeure events).

Intellectual property

Copyright

In these Terms, the term “Proprietary Content” means:

this site;
all of its content (including all of the text, graphics, designs, software, data, sound and video files and other information contained in this site, and the selection and arrangement thereof); and
all software, systems and other information owned or used by One Stop in connection with the products offered through this site (whether hosted on the same server as this site or otherwise).

All Proprietary Content is the property of One Stop or its licensors (as applicable) and is protected by Australian and international copyright laws. You must not reproduce, transmit, republish or prepare derivative works from any of the Proprietary Content, except as expressly authorised by these Terms or with the prior written consent of One Stop or other copyright owner (as applicable).

You may download and print out content from this site only for your own personal and non-commercial use and provided that you do not remove or modify any copyright, trademark or other proprietary notices.

Trademarks

The look and feel of this site (including all button icons, scripts, custom graphics and headers) are the trademarks, service marks and/or trade dress of One Stop. These trademarks, service marks and trade dress may not be used, copied or imitated, in whole or in part, without the prior written consent of One Stop.

Copyright claims

If you believe that our site contains any material that infringes upon any copyright that you hold or control, or that users are directed through a link on this site to a third party website that you believe is infringing upon any copyright that you hold or control, you may send a notification of such alleged infringement to us in writing. Such notification should identify the works that are allegedly being infringed upon and the allegedly infringing material and give particulars of the alleged infringement. In response to such a notification, we will give a written notice of a claim of copyright infringement to the provider of the allegedly infringing material. If the provider of that material does not respond to us in writing denying the alleged infringement within 14 days after receipt of that notice, we will remove or block the allegedly infringing material as soon as is reasonably practicable. If the original notifying party does not, within a further 14 days, file an action seeking a court order against the provider of the allegedly infringing material, we may restore any removed or blocked material at our discretion. If the original notifying party files such a legal action, we will remove or block the allegedly infringing material pending resolution of that legal action.

General

Entire agreement

These Terms (together with any additional terms expressly notified to you in writing or on the relevant product page, and any Quote-specific terms) constitute the entire agreement between you and us in relation to the Website and any Order, subject always to the Non-Excludable Rights.

Enforcement

The failure of One Stop to enforce any provisions of these Terms, respond to a breach by you or other parties, or insist on specific performance of any of the provisions of these Terms shall not in any way waive its right to enforce subsequently any terms or conditions of these Terms or to act with respect to similar breaches.

Severability

If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in full force and effect.

No waiver

A failure or delay by us to exercise a right or remedy does not operate as a waiver of that right or remedy.

Governing law and jurisdiction
